Introduction

These Noreason Terms of Service apply if you reside outside of the European Economic Area (EEA), Switzerland, or UK. If you live in the EEA, Switzerland, or UK, these other Noreason Terms of Service apply to you.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and NoReason Company, the company operating the Noreason.ai platform ("Noreason.ai," "we," "us," or "our"). By accessing or using our Services in any way—including completing registration, browsing our website, or interacting with our APIs—you agree to be bound by these Terms.

Noreason.ai builds and operates Human Attention Models ("HAMs")—artificial intelligence systems designed to understand, predict, and augment human attention patterns. Our Services include those models, related tools, APIs, applications, and all associated products.

IMPORTANT: Section 11 contains limitations on our liability. Section 12 governs how disputes between you and Noreason.ai are resolved, including a binding arbitration clause and class action waiver. Please read these sections carefully before using our Services.

1. Eligibility and Use Restrictions

(a) Age

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to access or use our Services. By using the Services, you represent and warrant that you meet this requirement.

(b) Authority to Bind

If you access or use our Services on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms. In such cases, all references to "you" include that entity, and the entity accepts joint responsibility for compliance with these Terms.

(c) Use Restrictions

Your access to and use of the Services—including any output generated by our Human Attention Models and AI content generation features—must comply with these Terms and our Acceptable Use Policy at all times. Specifically:

• Free-tier users may only use the Services for non-commercial purposes.
• Paid subscribers may use the Services for commercial purposes, subject to the applicable subscription plan and our Acceptable Use Policy.
• Use by governmental entities is subject to additional terms set out in our Acceptable Use Policy.
• If registering for non-commercial use, you must use a personal email address. Use of a business email address may result in Noreason.ai treating the associated entity as a data controller with respect to any personal data in your account.
• Any violation of these restrictions, our Acceptable Use Policy, or our prohibited content guidelines will result in the immediate and permanent termination of your account, the complete forfeiture of all remaining credits and subscription balances, and potential legal referral.

2. Personal Data and Privacy

The collection, use, and processing of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in our Privacy Policy. Where you have agreed to these Terms on behalf of a legal entity, our Data Processing Addendum governs Noreason.ai's processing of personal data contained in any content you submit to our Services.

You represent and warrant that any information you provide to Noreason.ai is accurate and up to date. You agree to receive communications from us using the contact information associated with your account.

Noreason.ai may process personal data for legitimate business purposes, including billing, account management, model improvement, research and development, technical support, and legal compliance.

3. Accounts

You are responsible for maintaining the security and confidentiality of your account credentials. You may not share your account with, or permit access by, any other individual or entity. You agree to:

• Promptly update your account information if it changes.
• Notify us immediately at [email protected] if you suspect unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

If your account is closed or terminated for any reason, all unused credits or prepaid balances associated with your account will be forfeited, unless otherwise required by applicable law.

4. Content, Inputs, and Outputs; AI Content Generation

(a) Inputs and Outputs

You may submit data, text prompts, reference images, videos, audio, likenesses, behavioral signals, gaze data, and other materials as input to our Services ("Input"). Based on your Input, our Human Attention Models, AI content generators, and related artificial intelligence systems may generate predictions, analyses, attention maps, recommendations, images, videos, synthetic media, or other content ("Output"). Input and Output together constitute "Content."

Your access to and use of the Services—including submitting Input and using Output—is at all times subject to these Terms and our Acceptable Use Policy. If we enable download or export of Output, you may use that Output outside our Services, subject to these Terms.

(b) Disclaimers for AI Content and Attention Predictions

Outputs generated by our Human Attention Models reflect probabilistic predictions and should not be relied upon as definitive. Outputs generated by our AI image and video generators are produced probabilistically by machine learning algorithms. We make no representations or warranties that any generated Output is unique, accurate, or free from third-party intellectual property claims. Similar or identical outputs may be generated for other users who submit similar prompts or inputs. You use all Outputs entirely at your own risk.

(c) Your Rights in Content & Ownership

As between you and us:

• You retain all rights you hold in your Input.
• You retain all rights and copyright in the generated Output you create, subject to the license grants below.
• Noreason.ai does not claim ownership of your Content.

(d) License to Your Content & Marketing Rights

By submitting Content to our Services, you grant Noreason.ai a perpetual, irrevocable, non-exclusive, royalty-free, fully paid, worldwide, sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and process your Content for the purposes of: (i) providing and operating the Services; (ii) improving our Services, algorithms, and models; and (iii) promoting, advertising, marketing, and showcasing the Services and platform outputs publicly as and where required. Noreason.ai will not commercialize your personal biometric or gaze data on a standalone, individually identified basis without your express consent.

(e) User Responsibility & Necessary Clearances

You bear sole responsibility for all Input you upload and all Output you generate. You represent and warrant that: (i) you possess all necessary rights, licenses, consents, clearances, and permissions to upload your Input and generate resulting Output (especially when uploading reference pictures, face swaps, or likenesses of real people, or using character reference profiles); (ii) your Content does not infringe any third-party intellectual property, privacy, publicity, or other proprietary rights; and (iii) your Content and our permitted use of it will not violate any law or cause harm to any person or entity. You agree to indemnify and hold harmless Noreason.ai against any third-party claims arising from your Content.

(f) No Sensitive Health Information

You may not submit Input that constitutes protected health information under HIPAA (or equivalent applicable law) unless we have executed a separate data processing or HIPAA business associate agreement with you.

(g) AI Model Training and Tiered Opt-Out

To train, benchmark, and improve our models and systems, we process Content in accordance with the following rules based on your account subscription tier:

• Free and Core Tier: Your prompts, uploaded Inputs, and generated Outputs are used to train and improve our AI models by default, and the Free Tier does not include a data training opt-out option.
• Pro and Team Tiers: All Content uploaded or generated by Pro and Team subscription tiers is strictly excluded from our model training by default. These paid tiers have the exclusive right to manage their data-use settings and opt-in or out of model training in their account settings at any time.

(h) Acceptable Use, Content Moderation, and Permanent Bans

You are strictly prohibited from submitting Input or generating Output that violates applicable law, these Terms, or our Acceptable Use Policy. Specifically, you may not upload or generate: (i) non-consensual deepfakes or unauthorized likenesses of real people; (ii) sexually explicit, pornographic, or highly violent content; (iii) harassment, hate speech, or defamatory materials; or (iv) direct copyright or trademark violations. We do not guarantee review of all Content, but we reserve the right to monitor, filter, remove, or refuse to process Content at any time. Any violation of these prohibited content guidelines or our Acceptable Use Policy will result in the immediate and permanent termination of your account, the complete forfeiture of all unused credits or prepaid subscription balances, and potential referral to law enforcement.

5. Intellectual Property

(a) Ownership

Noreason.ai and its licensors own all right, title, and interest in and to the Services, including our Human Attention Models, software, algorithms, interfaces, documentation, and all associated intellectual property rights. Nothing in these Terms transfers any ownership of our intellectual property to you.

(b) Limited License to Use

Subject to your compliance with these Terms, Noreason.ai grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Services solely for your own lawful purposes in accordance with these Terms.

(c) Trademarks

"Noreason.ai," the Noreason.ai logo, "Human Attention Models," "Soma," and all associated product names, slogans, and visual identities are trademarks of NoReason Company. You may not use any of our trademarks without our prior written consent.

(d) Feedback

If you provide us with suggestions, ideas, bug reports, or other feedback about the Services ("Feedback"), you grant us an irrevocable, royalty-free, worldwide license to use and incorporate that Feedback into our products and services without any obligation of attribution or compensation to you.

6. Subscriptions and Payment

(a) Recurring Subscriptions

Certain Services require a paid subscription ("Recurring Subscription"). Recurring Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By enrolling, you authorize Noreason.ai to charge your payment method on a recurring basis without further action from you.

You may cancel your Recurring Subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; no partial-period refunds will be issued. If we are unable to process your payment, we may suspend your access to the Services until payment is received.

We may change our subscription prices at any time by posting updated pricing through the Services. Price changes will take effect at the start of your next renewal period. If you do not agree to a price change, you must cancel your subscription at least seven (7) days before the change takes effect.

(b) Prepaid Credits

We may offer prepaid usage credits for certain Services. Prepaid credits are not money or a monetary equivalent and do not constitute a deposit or stored value. Key terms:

• Credits expire twelve (12) months after purchase or issuance unless otherwise stated.
• Credits are non-transferable and may not be sold, gifted, or assigned.
• Unused credits are forfeited upon account termination and are non-refundable except as required by applicable law.
• Noreason.ai may issue promotional credits subject to additional restrictions communicated at the time of issuance.

(c) Overage Charges

If your usage exceeds the volume included in your subscription plan, you will be charged overage fees at the rates disclosed at the time of subscription. You authorize us to charge your payment method on file for any such amounts.

(d) Payment Terms

You represent that you are authorized to use any payment method you provide to us. All charges are in U.S. dollars and are inclusive of any applicable taxes, which we will collect where required by law. All sales are final. We may offer refunds at our sole discretion.

7. Copyright and DMCA

Noreason.ai respects intellectual property rights. If you believe any content on our Services infringes your copyright, please submit a written notice to:

Your notice must include: (i) your signature or that of an authorized representative; (ii) identification of the copyrighted work; (iii) identification of the allegedly infringing material and its location; (iv) your contact information; (v) a good-faith statement that the use is not authorized; and (vi) a statement of accuracy under penalty of perjury.

Noreason.ai maintains a repeat infringer policy. Users with multiple valid copyright complaints against their Content or account may have their access terminated.

8. Third-Party Services and Content

Our Services may rely upon or interoperate with third-party platforms, APIs, cloud providers, data sources, and other services ("Third-Party Services"). We do not control Third-Party Services and are not responsible for their availability, accuracy, or conduct. Your use of any Third-Party Services may be subject to their own terms and policies.

Noreason.ai may also make available links to third-party content or resources ("Third-Party Content"). We do not endorse Third-Party Content and are not liable for any loss or damage arising from your use of or reliance on it.

9. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless NoReason Company, its officers, directors, employees, contractors, licensors, and agents from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your access to or use of the Services; (b) your Content or Feedback; (c) your violation of these Terms; (d) your infringement of any third-party rights, including intellectual property or privacy rights; or (e) your conduct in connection with the Services.

Noreason.ai reserves the right to assume control of the defense of any matter for which you are required to indemnify us, at our expense, and you agree to cooperate with our defense.

10. Disclaimers

THE SERVICES, INCLUDING ALL HUMAN ATTENTION MODEL OUTPUTS AND ANY THIRD-PARTY CONTENT, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NoReason Company DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

NOREASON.AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. HUMAN ATTENTION MODEL OUTPUTS ARE PROBABILISTIC IN NATURE AND ARE NOT GUARANTEES OF ANY INDIVIDUAL'S ATTENTION, BEHAVIOR, OR COGNITIVE STATE. YOU RELY ON SUCH OUTPUTS ENTIRELY AT YOUR OWN RISK.

11. Limitation of Liability

(a) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NoReason Company WILL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) NoReason Company'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (i) ONE HUNDRED U.S. DOLLARS ($100 USD); OR (ii) THE TOTAL FEES PAID BY YOU TO NOREASON.AI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

12. Dispute Resolution and Binding Arbitration

READ THIS SECTION CAREFULLY. IT REQUIRES ARBITRATION OF MOST DISPUTES ON AN INDIVIDUAL BASIS AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.

(a) Informal Resolution

Before initiating arbitration, you agree to first attempt to resolve any dispute informally. Send a written notice describing your claim to [email protected]. We will attempt to resolve the dispute within thirty (30) days. If we cannot reach a resolution, either party may proceed to binding arbitration as described below.

(b) Binding Arbitration

Except for disputes that qualify for small claims court or involve exclusively intellectual property rights, all disputes between you and Noreason.ai arising under or related to these Terms or the Services shall be resolved by final and binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat, venue, and place of arbitration shall be Thane, Maharashtra, India. The arbitration proceedings shall be conducted in the English language. The arbitrator's decision shall be final and binding on both parties.

(c) Class Action and Jury Trial Waiver

YOU AND WE EACH WAIVE THE RIGHT TO A TRIAL BY JURY. YOU AND WE EACH AGREE TO RESOLVE DISPUTES SOLELY ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE YOUR CLAIMS WITH THOSE OF ANY OTHER PERSON.

(d) Opting Out

You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice to [email protected] with your full name, email address, and a clear statement of your intent to opt out.

(e) Governing Procedure

Arbitration proceedings shall be kept confidential. The arbitrator's decision shall be final and may be enforced in any court of competent jurisdiction.

13. Governing Law and Venue

These Terms and any disputes arising out of or related to them are governed by the laws of the Republic of India, without regard to conflict of law principles. You and we consent to the exclusive jurisdiction of the competent courts located in Thane, Maharashtra, India.

14. Modifications and Termination

Noreason.ai reserves the right at any time and without prior notice to: (a) modify, suspend, or discontinue all or part of the Services; (b) modify pricing or fees; or (c) impose limits on certain features. We will endeavor to provide reasonable advance notice of material changes, but are not obligated to do so. Your continued use of the Services after changes take effect constitutes your acceptance of the modified Terms.

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, all licenses granted to you under these Terms immediately terminate.

15. Export Controls

You are responsible for compliance with all applicable U.S. and international export control and sanctions laws. You represent and warrant that you are not located in a sanctioned country or territory, and are not listed on any U.S. government list of prohibited or restricted parties. You will not use the Services to export, re-export, or transfer data or technology in violation of applicable law.

16. Miscellaneous

These Terms, together with our Privacy Policy, Acceptable Use Policy, and any applicable Supplemental Terms, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

Noreason.ai's failure to enforce any right or provision shall not constitute a waiver of that right or provision. These Terms are not intended to create third-party beneficiary rights. We may assign our rights and obligations under these Terms freely; you may not assign yours without our prior written consent.
